New PE Player Rampart Exterior Services Acquires Independent Roofing

Detroit-based Huron Capital Partners, a private equity firm specializing in middle-market investments, announced the acquisition of Independent Roofing Systems, Inc. by its commercial roofing and exterior facility services platform, Rampart Exterior Services. Founded in 1980 and headquartered in central Mississippi, Independent Roofing Systems serves critical sectors such as education, government, industrial, and commercial customers. The company will retain its current leadership team, including Joe Naquin, Larry Montpelier, and Melissa Naquin, who will continue to oversee day-to-day operations with support from Rampart’s CEO, Gabe Mesanza.

Gabe Mesanza expressed enthusiasm about the acquisition, stating, “We are eager to partner with Independent and build a leading group in commercial exterior services.” Joe Naquin, President of Independent Roofing Systems, highlighted the alignment of values and vision between his company and Huron Capital, noting, “We are excited to advance our journey alongside a firm like Huron, which aligns with our values and shares our vision for achieving growth and future success.”

Huron Capital launched Rampart Exterior Services in 2024 as part of its “ExecFactor” initiative, aimed at identifying top management teams and investment opportunities in key sectors. Rampart focuses on re-roofing, roofing repair, waterproofing, maintenance, and other exterior restoration services. The platform serves a range of commercial markets, including government, education, healthcare, life sciences, data centers, and manufacturing.

Brian Rassel, Partner at Huron Capital, expressed optimism about the partnership, saying, “We’re looking forward to our partnership with Independent and working with other founders and leading companies like Independent.” He added, “Joe, Larry, and Melissa have built upon a great legacy at Independent, and we are thankful for the opportunity to support them and the company in growing to new heights.”

Legal advisory for the transaction was provided by Honigman LLP, while Moss Adams LLP served as the financial diligence advisor to Huron Capital.
